These Terms & Conditions govern the use of the Gateway Print & Promo website and the purchase of goods or services from Gateway Print & Promo.
Gateway Print & Promo is owned and operated by Gateway Group (Pty) Ltd, registration number 2013/079467/07, located at Unit 12, Keymer Road, Rutland Works, Edenvale, South Africa.
By requesting a quotation, placing an order, or using our services, you agree to be bound by these Terms & Conditions.
1. Definitions
For the purposes of these Terms:
~ Company refers to Gateway Group (Pty) Ltd trading as Gateway Print & Promo.
~ Customer refers to the individual or business purchasing goods or services from the Company.
~ Goods refers to all products manufactured, supplied or services rendered by the Company.
~ Order refers to any written, emailed or verbally confirmed instruction placed by the Customer.
~ Custom Manufactured Goods refers to goods produced specifically according to the Customer’s specifications and which are not ordinarily resaleable.
~ Proof refers to any digital or physical representation of artwork or layout provided for approval prior to production.
2. Application of Terms
These Terms apply to all orders placed with Gateway Print & Promo.
~ Placement of an order constitutes acceptance of these Terms.
~ No variation of these Terms will be binding unless agreed to in writing by a Director of the Company.
~ These Terms apply primarily to business-to-business transactions and the Consumer Protection Act applies only where legally required.
3. Pricing
All prices are quoted per job and are based on the cost of materials, labour and production at the time the quotation is issued.
~ Prices may change prior to production if supplier costs, materials or production costs increase.
~ Quotations are valid only for the period specified on the quotation.
4. Payment Terms
Payment terms apply as follows:
~ A minimum 70% deposit is required for custom manufactured goods unless otherwise agreed.
~ Orders placed from outside South Africa require 100% upfront payment.
~ Special or non-standard materials must be paid for in full before procurement.
~ The balance of the order must be paid before delivery or collection.
~ Interest may be charged on overdue accounts at 2% per month.
~ Ownership of goods remains with the Company until full payment has been received.
5. Artwork Approval
Artwork approval is the responsibility of the Customer.
~ Proofs will be sent to the ordering contact unless otherwise agreed in writing.
~ Written approval of proofs, including email approval, constitutes final acceptance.
~ Gateway Print & Promo is not responsible for errors appearing in approved artwork.
~ Internal customer approval disputes do not invalidate approved proofs.
~ Any changes requested after artwork approval may result in additional charges and revised timelines.
6. Manufacturing Tolerances
Printing and manufacturing processes are subject to standard industry tolerances.
~ A quantity variation of up to 10% over or under the ordered quantity constitutes proper performance.
~ The Company will invoice based on the actual quantity delivered.
~ Minor variations in colour, finish, cutting, folding, gluing, foiling, embossing or varnish within industry tolerances do not constitute defects.
~ Digital proofs and samples are representative only.
7. Delivery and Risk
Delivery dates are estimates and are not guaranteed.
~ The Company shall not be liable for late delivery.
~ Risk passes to the Customer upon delivery or collection.
~ Courier shipments are not insured unless specifically requested and arranged in writing prior to dispatch.
~ Customers must collect goods within 30 days of notification that the order is ready.
8. Storage and Disposal
Where goods remain uncollected:
~ Storage charges may apply after 30 days.
~ Storage fees are charged at R150 per square meter per month or part thereof.
~ Written notice may be issued after 120 days requesting collection.
~ After 180 days the Company may dispose of or recycle goods without further notice.
Outstanding debt remains payable even if goods are disposed of.
9. Inspection and Defects
Customers must inspect goods immediately upon receipt.
~ Written notice of defects must be submitted within 14 days of delivery or collection.
~ Failure to notify within this period constitutes acceptance of the goods.
~ Gateway Print & Promo reserves the right to inspect any claimed defects before accepting liability.
10. Order Cancellation
Orders may not be cancelled without written consent of the Company.
Cancellation charges may apply depending on the stage of production and may include artwork costs, materials ordered, tooling or preparation work.
Completed custom manufactured goods may not be cancelled.
11. Refund Policy
Custom manufactured goods are non-returnable and non-refundable.
Refunds will not be issued for:
~ Change of mind
~ Subjective dissatisfaction
~ Approved artwork errors
~ Internal customer disputes
~ Variations within industry tolerances
Where goods are materially defective and not produced according to the approved proof, the Company may at its discretion:
~ Reprint or remake the goods
~ Issue a credit note
Cash refunds are not guaranteed once production has commenced.
12. Limitation of Liability
The Company’s total liability shall not exceed the invoice value of the goods supplied.
Gateway Print & Promo shall not be liable for:
~ Loss of profit
~ Loss of business
~ Production downtime
~ Consequential or indirect damages
~ Third-party claims
~ Reputational damage
Customers indemnify the Company against claims arising from artwork supplied or approved by the Customer.
13. Force Majeure
Gateway Print & Promo shall not be liable for delays or failure to perform obligations due to events beyond its reasonable control, including power outages, machinery breakdowns, supplier delays, labour disruptions, natural disasters or government restrictions.
Delivery timelines may be extended accordingly.
14. Intellectual Property
All artwork, layouts, dielines, tooling and production files remain the property of Gateway Print & Promo unless otherwise agreed in writing.
Payment of setup or design fees does not transfer ownership of production files unless specifically agreed.
15. Marketing Use
Gateway Print & Promo reserves the right to photograph or use manufactured work for portfolio, marketing and promotional purposes unless the Customer objects in writing prior to production.
16. Jurisdiction
These Terms are governed by the laws of the Republic of South Africa.
The parties consent to the jurisdiction of the Magistrates Court in terms of Section 45 of the Magistrates Court Act.
